Welcome to BNR HERITAGE. These Terms of Service (“Terms”) govern your access to and use of the BNR HERITAGE website, online store, products, content, and related services (collectively, the “Services”).

Throughout these Terms, “BNR HERITAGE,” “we,” “us,” and “our” refer to BNR HERITAGE. “You” and “your” refer to any visitor, customer, purchaser, or other user of the Services.

By accessing our website, placing an order, or purchasing any product from us, you agree to be bound by these Terms. If you do not agree to these Terms, you should not use the Services or place an order.

1. ONLINE STORE TERMS

By using the Services, you represent that you are at least the age of majority in your state, province, or country of residence, or that you have obtained the consent of your parent or legal guardian where required.

You may not use our products or Services for any unlawful or unauthorized purpose, nor may you violate any applicable law in your use of the Services.

We reserve the right to refuse service, cancel an order, or restrict access to the Services when reasonably necessary, including in cases involving suspected fraud, unauthorized transactions, abuse, or violations of these Terms.

2. PRODUCTS

BNR HERITAGE designs, manufactures, and sells specialty automotive products and components, including custom and made-to-order products.

We make reasonable efforts to display our products, materials, colors, carbon-fiber patterns, finishes, dimensions, specifications, and other characteristics accurately. However, because many products are individually manufactured and finished, minor variations may occur between products.

Differences in carbon-fiber weave, texture, color, gloss, surface appearance, or other characteristics inherent to the manufacturing process are not necessarily defects.

Product photographs are provided for illustrative purposes. Your device or monitor may display colors and finishes differently from the actual product.

We reserve the right to modify product specifications, materials, construction methods, designs, availability, and pricing at any time, provided that any material changes affecting an existing order will be handled in accordance with applicable law.

3. CUSTOM AND MADE-TO-ORDER PRODUCTS

Many BNR HERITAGE products are produced specifically for each customer after an order is placed.

Depending on the product, customization may include finish selection, color, configuration, specifications, or other customer-selected options.

By placing an order for a custom or made-to-order product, you acknowledge that:

  • The product may be manufactured or finished specifically for your order.

  • Production may begin shortly after your order is accepted.

  • Materials, labor, and production capacity may be committed specifically to your order.

  • Production and delivery times are estimates and are not guaranteed unless expressly stated otherwise in writing by BNR HERITAGE.

  • Minor variations inherent to handcrafted, composite, carbon-fiber, or custom manufacturing processes may occur.

It is your responsibility to review all product selections, configurations, finishes, vehicle compatibility information, shipping information, and other order details before completing your purchase.

4. ORDERS AND PAYMENT

All orders are subject to acceptance and availability.

When you place an order, you represent that all billing, shipping, payment, and other information you provide is accurate and complete.

We reserve the right to reject or cancel an order before fulfillment in circumstances including, but not limited to:

  • Pricing or product-description errors;

  • Product or material availability;

  • Suspected fraud or unauthorized payment activity;

  • Inability to verify customer information;

  • Legal or regulatory restrictions; or

  • Circumstances that make fulfillment commercially or practically impossible.

If we cancel an order that we are unable or unwilling to fulfill, we will refund amounts paid for the cancelled portion of the order as required by applicable law.

Prices are displayed in the currency indicated on the website. Applicable taxes, shipping charges, duties, customs fees, or other charges may be added where applicable.

5. ALL SALES FINAL — NO REFUNDS OR RETURNS

ALL BNR HERITAGE PRODUCTS ARE CUSTOM, MADE-TO-ORDER, LIMITED-PRODUCTION, OR SPECIALTY PRODUCTS. ALL SALES ARE FINAL.

PURCHASES ARE NON-REFUNDABLE AND, EXCEPT AS REQUIRED BY APPLICABLE LAW OR EXPRESSLY PROVIDED BELOW, PRODUCTS MAY NOT BE RETURNED OR EXCHANGED.

By completing your purchase, you expressly acknowledge and agree that:

  • You are purchasing a custom or made-to-order product;

  • Your order may enter production specifically for you;

  • You have reviewed and confirmed your product configuration and specifications before ordering;

  • You are not entitled to a refund because you changed your mind, no longer want the product, ordered the wrong product or configuration, sold your vehicle, experienced installation difficulties, or otherwise decide not to use the product; and

  • Normal variations associated with handcrafted products, carbon fiber, composite materials, custom finishes, or manufacturing processes do not constitute grounds for a refund.

This policy does not limit any rights or remedies that cannot legally be waived under applicable law.

Damaged, Defective, or Incorrect Products

If you believe you received a product that was damaged during shipment, materially defective, or materially different from what you ordered, you must contact us as soon as reasonably possible at info@bnrheritage.com.

Please include your order number, a description of the issue, and clear photographs or other documentation showing the condition of the product and packaging.

We may request additional photographs, information, or inspection before determining the appropriate remedy.

Where we determine that a product is defective, damaged, or incorrect, BNR HERITAGE may, as appropriate and subject to applicable law, repair the product, replace the product, provide replacement components, or provide another legally required remedy.

Customers should not return products without first receiving authorization from BNR HERITAGE.

6. ORDER CANCELLATIONS

Because products may be custom manufactured and production expenses may be incurred shortly after an order is placed, orders generally cannot be cancelled once production has begun.

Any cancellation request must be submitted to info@bnrheritage.com as soon as possible.

BNR HERITAGE does not guarantee that an order can be cancelled after it has been submitted. If manufacturing, customization, material procurement, finishing, or other production work has begun, the order will be considered final and non-cancellable except where otherwise required by law.

7. SHIPPING AND DELIVERY

Shipping and delivery dates provided by BNR HERITAGE are estimates unless we expressly agree otherwise in writing.

Custom manufacturing, supply-chain conditions, material availability, quality-control processes, carrier delays, weather, customs processing, or other circumstances may affect production and delivery schedules.

We are not responsible for delays caused by shipping carriers, customs agencies, government authorities, incorrect shipping information provided by the customer, force majeure events, or other circumstances outside our reasonable control.

Customers are responsible for providing a complete and accurate delivery address.

International customers are responsible for applicable import duties, customs fees, taxes, brokerage fees, and other charges imposed by the destination country unless expressly stated otherwise.

8. VEHICLE COMPATIBILITY AND FITMENT

It is the customer's responsibility to verify that a product is appropriate for the customer's particular vehicle, configuration, modifications, and intended use before purchasing or installing the product.

Vehicle modifications, prior repairs, accident damage, corrosion, aftermarket components, dimensional variations, or other factors may affect installation and fitment.

Statements regarding vehicle compatibility are based on the configurations for which the product was designed and tested and do not guarantee compatibility with every modified or previously repaired vehicle.

Please contact BNR HERITAGE before purchasing if you are uncertain whether a product is appropriate for your vehicle.

9. INSTALLATION AND USE

Automotive components must be installed and used correctly.

Unless expressly stated otherwise, BNR HERITAGE recommends that products be installed by a qualified automotive technician, body technician, fabrication professional, or other professional experienced with the applicable vehicle and component.

You are responsible for determining whether installation of a product requires professional expertise, special tools, vehicle modification, adhesives, fasteners, structural work, or other specialized procedures.

BNR HERITAGE is not responsible for damage caused by improper installation, misuse, neglect, accident, unauthorized modification, incorrect application, improper maintenance, or failure to follow applicable instructions.

You are also responsible for determining whether the installation or use of a product complies with applicable vehicle, safety, registration, emissions, inspection, motorsport, and other laws or regulations in your jurisdiction.

10. MOTORSPORT AND PERFORMANCE VEHICLES

Performance vehicles and modified vehicles may be subjected to stresses substantially greater than those encountered during ordinary street use.

Motorsport activities, track driving, competitive driving, high-performance use, and vehicle modification involve inherent risks of property damage, serious injury, and death.

BNR HERITAGE does not represent that any product will eliminate these risks or make a vehicle safe under all circumstances.

You assume responsibility for the selection, installation, inspection, maintenance, and use of products installed on your vehicle.

11. INTELLECTUAL PROPERTY

All content made available through the Services, including product designs, photographs, videos, graphics, logos, trademarks, text, engineering concepts, product names, website design, and other materials, is owned by or licensed to BNR HERITAGE and is protected by applicable intellectual-property laws.

You may not reproduce, copy, distribute, modify, reverse engineer, commercially exploit, or create derivative works from our proprietary content or products except as permitted by applicable law or with our prior written consent.

No use of the BNR HERITAGE name, branding, photography, product imagery, or other intellectual property is permitted in a manner that suggests sponsorship, affiliation, or endorsement without our written authorization.

12. THIRD-PARTY SERVICES

Our store is hosted and supported by Shopify and may use third-party payment processors, shipping providers, analytics providers, social-media services, and other service providers.

Your use of certain third-party services may also be governed by the terms and policies of those third parties.

We are not responsible for third-party websites, platforms, products, or services that we do not own or control.

13. ACCURACY OF INFORMATION

We make reasonable efforts to ensure that the information presented through the Services is accurate. However, typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, availability, specifications, shipping charges, transit times, or other information may occasionally occur.

We reserve the right to correct errors or inaccuracies and update information at any time.

If an error materially affects an order you have already placed, we will address the order in accordance with applicable law.

14. PROHIBITED USES

You may not use the Services:

  • For unlawful purposes;

  • To violate applicable laws or regulations;

  • To infringe our intellectual-property rights or the rights of others;

  • To submit false or misleading information;

  • To transmit malicious code;

  • To interfere with the security or operation of the website;

  • To scrape, crawl, copy, or systematically extract website content for unauthorized commercial purposes;

  • To engage in fraudulent transactions; or

  • To circumvent security, payment, or access-control measures.

We may suspend or terminate access to the Services for violations of these Terms.

15. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS EXCEPT FOR ANY EXPRESS WARRANTY PROVIDED BY BNR HERITAGE IN WRITING.

BNR HERITAGE DISCLAIMS IMPLIED WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS WARRANTIES, GUARANTEES, RIGHTS, OR REMEDIES THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

16. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BNR HERITAGE AND ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR PRODUCTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BNR HERITAGE'S AGGREGATE LIABILITY ARISING FROM A PRODUCT PURCHASE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO BNR HERITAGE FOR THE PRODUCT GIVING RISE TO THE CLAIM.

These limitations do not apply where liability cannot lawfully be excluded or limited.

17. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless BNR HERITAGE and its owners, officers, employees, affiliates, contractors, and service providers from third-party claims, liabilities, damages, and reasonable expenses arising from your unlawful use of the Services, your violation of these Terms, or your infringement of another person's rights.

18. PRIVACY

Your use of the Services is also subject to our Privacy Policy.

Our Privacy Policy describes how personal information is collected, used, disclosed, and otherwise processed when you interact with BNR HERITAGE or use the Services.

19. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes to our business, products, Services, practices, or legal and regulatory requirements.

The updated Terms will be posted on the website with a revised “Last Updated” date.

Changes will apply prospectively as required by applicable law.

20. SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

21. NO WAIVER

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

22. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other policies or terms expressly incorporated by reference, constitute the agreement between you and BNR HERITAGE regarding your use of the Services and purchase of products, except for any separate written agreement between you and BNR HERITAGE.

23. GOVERNING LAW

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except to the extent that applicable consumer-protection laws require otherwise.

Any dispute that is not otherwise resolved between the parties will be subject to the jurisdiction of the appropriate state or federal courts located in California, except where applicable law provides otherwise.
